Assistant General Counsel - Commercial Lending

Join M&T Bank as an Assistant General Counsel in the Commercial Lending practice group, supporting commercial lending segments within the Commercial Division.

Overview

The successful candidate will join a small team of seasoned attorneys in the Legal Department of M&T Bank Corporation (NYSE: MTB), and will provide legal counsel and support in the documentation, negotiation, closing and servicing of commercial lending transactions including both bilateral and syndicated loans collateralized primarily by business assets and owneroccupied real estate.

Remote work arrangements within the United States may be considered if the candidate is not near one of the specified office locations.

Primary Responsibilities

  • Address daytoday legal and risk issues in connection with proposed, new and existing commercial lending transactions and advise bank officers at various levels and functions.
  • Draft, review, negotiate and revise commercial loan documents.
  • Maintain and enhance template commercial lending agreements and related forms (both inhouse and vendorbased).
  • Interface with and assist the management of approved outside legal counsel.
  • Draft and coordinate communication with outside counsel used to close commercial lending transactions.
  • Advise internal clients on the development, implementation and expansion of new credit products, services, markets and distribution channels, including digital lending and electronic signatures.
  • Monitor and advise on federal and state laws, regulations and guidelines relating to commercial lending, and support enterprisewide compliance efforts.
  • Identify, evaluate and escalated legal and regulatory risks and collaborate with firstline and secondline risk functions to mitigate them.
  • Represent and support the Legal Department in various Commercial Division committees, project teams and working groups.
  • Monitor industry developments and participate in industry groups/committees as needed.
  • Develop and maintain trusted working relationships with Legal Department colleagues and internal clients, including loan officers, managers, risk management, compliance and audit partners, and loan operations.
  • Contribute to the development and presentation of commercial lending training programs for internal clients.
  • Execute on the strategic direction, policies and guidelines for the M&T Legal Department.

Supervisory / Managerial Responsibilities

Provide guidance to junior staff members; supervise paralegals and administrative staff as needed.

Education, Experience and Skill Requirements

  • J.D. degree from an accredited law school.
  • Admitted and in good standing with the state bar of New York and/or other states in the M&T footprint.
  • Minimum 4 years experience as an attorney or relevant legal experience.
  • Experience in a lead counsel, clientfacing role in the commercial lending space.
  • Strong familiarity with commercial lending documents of various types.
  • Selfmotivated and strong/proactive work ethic.
  • Ability to independently identify legal issues, evaluate risks, and offer practical recommendations.
  • Strong interpersonal and organizational skills.
  • Effective collaborator and team player.
  • Strong analytical and decisionmaking skills.
  • Excellent writing and verbal skills.

Education, Experience and Skills Preferred

  • 5+ years of experience in a lead counsel, clientfacing role in the commercial lending space.

M&T Bank is committed to fair, competitive, and marketinformed pay for our employees. The pay range for this position is $139,700.00 - $232,900.00 annual (USD), adjusted based on specific qualifications.

Work Arrangement: Hybrid position requiring inoffice work three days per week. Eligible locations include Buffalo, NY; Baltimore, MD; New York, NY; Wilmington, DE; Bridgeport, CT; Paramus, NJ; and Washington, DC.
